ELIGIBILITY AND REPRESENTATIONS

By accessing or using AlphaDEX, you represent and warrant that: (a) you are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) you are not located in, a resident of, or a citizen of any jurisdiction listed as restricted in the Disclaimer; (c) you are not a Specially Designated National (SDN) or otherwise on any U.S., U.K., U.N., or E.U. sanctions list, and you are not acting on behalf of any such person or entity; (d) you have the full legal capacity to enter into these Terms; (e) your use of AlphaDEX will not violate any applicable law, regulation, or order of a court or regulator with jurisdiction over you; and (f) the funds you deposit are not the proceeds of, and will not be used to facilitate, unlawful conduct.

ACCEPTABLE USE

You agree to use AlphaDEX solely for lawful purposes. You will not: attempt to exploit, disrupt, or interfere with the protocol or the interface; manipulate markets, prices, or oracles; use the platform for money laundering, terrorist financing, or evading sanctions; use bots or scripts that degrade service for other users; misrepresent your identity, location, or jurisdiction; circumvent any geoblocking, access controls, or security measures; or engage in any activity that violates applicable law.

THE PROTOCOL

AlphaDEX is a non-custodial, peer-to-pool leveraged trading protocol deployed on the Solana blockchain. You interact directly with on-chain smart contracts; 2xSwap Labs, Inc. does not hold custody of your funds at any point. The protocol includes administrative functions that allow the team to pause new positions and deploy upgrades in emergencies; these functions cannot seize or confiscate user funds.

INTELLECTUAL PROPERTY

The AlphaDEX name, logo, user interface design, marketing copy, and associated trademarks and copyrights are the property of 2xSwap Labs, Inc. All rights reserved. The underlying smart contract code is deployed on the Solana blockchain and is publicly verifiable; its software licence is governed separately by the licence headers within the source. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the interface solely for your personal interaction with the protocol.

TAXES

You are solely responsible for determining what taxes, if any, apply to your transactions on AlphaDEX, and for reporting and remitting those taxes to the appropriate tax authorities. AlphaDEX does not provide tax reports and does not withhold, report, or remit taxes on your behalf.

NO WARRANTIES; ASSUMPTION OF RISK

AlphaDEX is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, and accuracy. We do not warrant that the protocol or interface will be uninterrupted, error-free, secure, or free from vulnerabilities. You expressly assume all risks of use, including those described in the Disclaimer.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, 2xSwap Labs, Inc. and its officers, directors, employees, agents, affiliates, and contractors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, loss of data, loss of use, loss of goodwill, loss of cryptocurrency, loss caused by third-party infrastructure, or loss caused by market volatility — arising out of or in connection with your use of AlphaDEX, whether based on warranty, contract, tort, statute, or any other legal theory, even if we have been advised of the possibility of such damages.

In no event shall the total aggregate liability of 2xSwap Labs, Inc. exceed the greater of (i) the amount of fees actually paid by you to the protocol in the twelve (12) months preceding the claim, or (ii) one hundred U.S. dollars (USD 100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless 2xSwap Labs, Inc. and its officers, directors, employees, agents, affiliates, and contractors from and against any claims, damages, losses, liabilities, judgments, awards, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of AlphaDEX, (b) your breach of these Terms, (c) your violation of any applicable law or regulation, (d) your violation of any third-party right, or (e) any inaccurate representation or warranty made by you.

BINDING ARBITRATION; CLASS-ACTION WAIVER

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of AlphaDEX shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect. The seat of arbitration shall be Wilmington, Delaware, United States; the language of the arbitration shall be English; the arbitrator's award shall be final and enforceable in any court of competent jurisdiction.

YOU AND 2XSWAP LABS, INC. EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE AS A NAMED PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, OR REPRESENTATIVE PROCEEDING. No arbitrator may consolidate claims from more than one person or preside over any form of a representative or class proceeding. If this class-action waiver is held unenforceable, then the entire arbitration clause shall be null and void as to the claim to which the finding applies, but the remainder of these Terms shall remain in effect.

GOVERNING LAW

Except as set out in the arbitration clause above, these Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

FORCE MAJEURE

2xSwap Labs, Inc. shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to blockchain congestion or reorganization, RPC failure, oracle failure, third-party service failure, regulatory action, sanctions changes, denial-of-service attack, hardware or software failure, labor disputes, natural disasters, or acts of God.

TERMINATION

We may, at our sole discretion and without liability, restrict or terminate your access to the interface at any time and without notice — including to comply with applicable law, sanctions, or a court order, or to respond to suspected misuse. Termination of interface access does not affect your on-chain positions, which you may continue to manage directly through the smart contract.

MODIFICATIONS

We may update these Terms at any time. Material changes will be reflected by updating the "Last updated" date on this page. Your continued use after an update constitutes acceptance of the revised Terms. If you do not agree with any update, stop using AlphaDEX.

SEVERABILITY; NO WAIVER; ENTIRE AGREEMENT; ASSIGNMENT

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect. Our failure to enforce any right is not a waiver of that right. These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and 2xSwap Labs, Inc. regarding AlphaDEX and supersede all prior agreements on the same subject. You may not assign or transfer these Terms. We may assign these Terms at any time.
